Kvaerner Code of Conduct

The purpose of our Code of Conduct is to summarise the Kvaerner standards of behaviour in all types of activities, everywhere.

The common set of values shared by all operating units in Kvaerner is a compass that guides all of us in our daily work.

Our aim is to ensure that we run our operations in line with our values, all relevant laws and regulations – with high integrity.

Kvaerner Business Integrity Policy

The Business Integrity Policy sets out the mandatory rules and regulations for Kvaerner in respect of Business Integrity, in order to ensure that all business operations in Kvaerner are carried out in an ethical manner and in compliance with applicable laws and regulations.

The Policy consists of three main sections:

  • Corruption and improper payments
  • Fraud

Kvaerner Privacy Statement

The Privacy statement of Kvaerner represents the full online privacy policy applicable to kvaerner.com’s online activities. The statement explains the type of information we collect from you online and how we use that information. The website kvaerner.com is governed in accordance with the Norwegian legislation and the Civil Court of Oslo shall be legal venue having exclusive jurisdiction over any dispute arising out of your use of this website. Kvaerner is to be considered as Data Controller and will determine the purposes and means of the Processing of Personal Data submitted online.

Kvaerner Data Protection Standard
The Kvaerner Data Protection Standard contains a set of legally binding rules within Kvaerner which provide the principles for Processing of Personal Data within the company group. The Data Protection Standard also includes the Binding Corporate Rules for Kvaerner, and shall apply for all Processing of Personal Data in Kvaerner.

The Kvaerner Corporate Internal Audit Function
In 2012, Kvaerner established the Corporate Internal Audit function.

The Corporate Internal Audit function is headed by the SVP Legal & Compliance and has four fixed members from Corporate Finance, Treasury and Legal (steering committee).
The Kvaerner Corporate Internal Audit function conducts audits with particular focus on compliance with the Kvaerner policies, laws and regulations. The individual audits conducted are joint holistic audits (total risk picture) or focusing on specific topics.

The basis for the corporate annual audit plan is the annual risk review, normally presented to the Board of Directors’ during third quarter.  The yearly audit plan is first presented to the Corporate Management Team and Executive Management Team for input, and thereafter to the Board’s Audit Committee for their recommendations to the Board of Directors.
The Audit Execution teams will vary and consists of internal resources from the different Kvaerner units as well as externals depending on the competence required for the audit in question. The Corporate Internal Audit function appoints the execution leads and members.
